1. Agreement to Terms

By accessing or using TradePilot, including any of its web applications, APIs, or related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms in their entirety, you must not access or use the Service.

2. Description of Service

TradePilot is an informational stock screening and analytics platform. The Service provides algorithmic rankings, technical indicators, educational content, and market data summaries based on publicly available information from third-party data providers. TradePilot Starter is offered free of charge. Paid tiers (Advanced, Pro, Executive) provide expanded access subject to separate subscription agreements.

3. Not Financial Advice

THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TRADING, TAX, OR LEGAL ADVICE. All content, scores, rankings, signals, data, charts, and analysis provided through the Service are for informational and educational purposes only. Nothing on the Service constitutes a recommendation to buy, sell, hold, or otherwise transact in any security, derivative, or financial instrument.

TradePilot is not a registered investment adviser, broker-dealer, financial planner, portfolio manager, or any other type of licensed or regulated financial professional under federal or state securities laws. Use of the Service does not create a fiduciary relationship, advisory relationship, or any other special relationship between you and TradePilot.

You should consult a qualified, licensed financial professional before making any investment decision. You acknowledge that TradePilot has no knowledge of your individual financial situation, investment objectives, risk tolerance, or tax status.

4. No Investment Recommendations

Algorithmic scores, rankings, and screener results reflect technical criteria (such as price momentum, moving averages, and relative strength) applied to market data at a point in time. They are not predictions of future price movements or investment outcomes.

Past performance of any stock, score, or ranking displayed on the Service is not a guarantee, projection, or indicator of future results. All investments involve risk, including the possible loss of your entire principal. The value of securities can go up or down, and you may receive less than you invest.

5. Data Accuracy and Availability

The Service relies on third-party market data providers. TradePilot makes no representation or warranty, express or implied, that data displayed is accurate, complete, timely, current, or error-free. Market data may be delayed, interrupted, or unavailable. Prices and other data may differ from actual market conditions.

The Service may experience downtime due to maintenance, provider outages, or technical failures. You agree not to rely on the Service as your sole or primary source of market data or investment information. TradePilot is not liable for any losses arising from data errors, delays, or unavailability.

6. User Responsibilities

You are solely responsible for:

  • All investment decisions you make and their financial consequences;
  • Independently verifying any data or information before acting on it;
  • Complying with all applicable laws, regulations, and tax obligations in your jurisdiction;
  • Maintaining the confidentiality and security of your account credentials;
  • Ensuring the Service is appropriate for your individual circumstances.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEPILOT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages;
  • Any loss of profits, revenue, data, goodwill, or business opportunity;
  • Any investment losses, trading losses, or financial damages arising from your reliance on the Service;
  • Any unauthorized access to or alteration of your data;
  • Any interruption, suspension, or termination of the Service.

For free-tier (Starter) users, TradePilot’s total aggregate liability shall not exceed $0 (zero dollars). For paid subscribers, TradePilot’s total aggregate liability shall not exceed the fees actually paid by you in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. TRADEPILOT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

9. Indemnification

You agree to defend, indemnify, and hold harmless TradePilot and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) any investment decisions you make based on information from the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights.

10. Intellectual Property

All content, features, functionality, trademarks, logos, and software of the Service are owned by TradePilot and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any portion of the Service without prior written consent.

11. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations;
  • Scrape, crawl, or harvest data at scale beyond normal use;
  • Attempt to reverse engineer, decompile, or access source code of the Service;
  • Circumvent rate limits, access controls, or tier restrictions;
  • Use data from the Service to develop a competing screener or analytics product;
  • Distribute or resell screener output without authorization.

12. Termination

TradePilot reserves the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice, at its sole discretion. Upon termination, your right to use the Service ceases immediately. Sections 3, 4, 7, 8, 9, 13, and 14 shall survive termination.

13. Modifications

TradePilot may modify these Terms at any time. When changes are made, we will update the “Last updated” date above. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. Class action waivers apply to the fullest extent permitted by law.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and TradePilot with respect to the Service and supersede all prior or contemporaneous agreements, representations, and understandings.
